Autodesk receives expected notification of deficiency from Nasdaq related to delayed filing of annual report on Form 10-K

SAN FRANCISCO, April 25, 2024 /PRNewswire/ — Autodesk, Inc. (NASDAQ: ADSK) has received a deficiency notice from the Nasdaq Listing Qualifications Staff, informing the company that it is not in compliance with Nasdaq Listing Rule 5250(c)(1). This follows the company’s failure to file its Annual Report on Form 10-K for the fiscal year ending January 31, 2024, as previously disclosed in its Form 12b-25 and a press release issued on April 16, 2024.
Nasdaq requires listed companies to timely submit all required financial reports to the SEC, and the delay in filing the Form 10-K triggered this notice. However, the notice does not currently impact the trading of Autodesk’s common stock on the Nasdaq Global Select Market.
Under Nasdaq’s rules, Autodesk now has 60 calendar days to submit a plan to regain compliance. If approved, the company may be granted an extension of up to 180 days from the original due date of the Form 10-K, which would push the deadline to October 14, 2024. The company is working diligently to address the issue and ensure compliance as soon as possible.
